Part A

Website terms of use

This website is operated by TeamTrak Ltd, registered in Scotland, company number SC856909, at Station House, Station Road, Embo, Sutherland, IV25 3PR. By using the site you accept these terms.

A1. What the site is for

The site describes our products and lets you make an enquiry. Nothing on it is an offer capable of acceptance, and descriptions of features, availability and roadmap may change.

A2. Not regulatory advice

References to the Workboat Code, safety management systems, dates and obligations are provided for general information. They are not legal or regulatory advice, and they do not replace the code itself or guidance from your certifying authority. You remain responsible for your own compliance. Using TeamTrak does not make an operation compliant.

A3. Acceptable use

Do not attempt to gain unauthorised access to the site or its infrastructure, introduce malicious code, scrape it at a rate that degrades service, or misuse the enquiry form for unsolicited marketing.

A4. Intellectual property

The TeamTrak name, logos, platform, screens and the content of this site belong to TeamTrak Ltd. You may view and print pages for your own business assessment. Any other copying, republication or commercial use needs our written permission.

A5. Links and availability

We are not responsible for the content of external sites we link to. We do not guarantee the site will be available uninterrupted, and we may change or withdraw any part of it.

Part B

Software subscription terms

These terms apply between TeamTrak Ltd and the organisation named on an order for a TeamTrak subscription. Together with the order they form the whole agreement. Where an order and these terms conflict, the order wins.

B1. The subscription

We grant the Customer a non-exclusive, non-transferable right to access and use the TeamTrak product stated on the order, for the Customer's own operations, for the subscription term. Crew and user accounts are unlimited unless the order says otherwise. The Customer is responsible for the acts of its users.

B2. Term and renewal

Subscriptions run for twelve months from the start date and renew for further twelve-month terms unless either party gives at least thirty days' written notice before the renewal date.

B3. Fees and payment

Fees are as set out in the order and are payable annually in advance. Payments are collected through Stripe. Fees exclude VAT, which is added where applicable.

Where a subscription is priced per vessel, adding a vessel mid-term is charged pro rata for the remainder of the term at the rate for that vessel's position in the fleet. Removing a vessel mid-term does not give rise to a refund, but reduces the fee at renewal.

We may change prices at renewal on at least sixty days' notice. If the Customer does not accept the new price, it may decline renewal.

B4. Customer responsibilities

The Customer is responsible for the accuracy and completeness of the records it puts into the platform, for keeping account credentials secure, for deciding who may access what, and for its own regulatory compliance. TeamTrak structures and stores records; it does not verify them and does not certify any operation.

B5. Data protection

The Customer is the controller of personal data in its account and TeamTrak Ltd is the processor. We process that data only on the Customer's documented instructions, keep it confidential, apply appropriate security measures, use only approved sub-processors, assist with data subject requests and breach notification, and delete or return the data at the end of the agreement. Our privacy notice lists current sub-processors.

B6. Customer data and export

Customer data remains the Customer's property. The platform provides export of operational records at any time during the term. After termination we will keep the data available for export for thirty days, then delete it, subject to any legal retention obligation.

B7. Availability and support

We aim for the platform to be available at all times other than planned maintenance, which we schedule outside typical operational hours where we can and notify in advance. Support is provided by email during UK business hours and is included in the subscription fee. TeamTrak is not an emergency communication system and must not be relied on as the sole means of raising or coordinating an emergency response.

B8. Intellectual property

The platform and all intellectual property in it remain owned by TeamTrak Ltd. Feedback and suggestions may be used to improve the product without obligation, and doing so creates no rights in the platform for the Customer.

B9. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of the agreement, except where disclosure is required by law.

B10. Liability

Neither party limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of anticipated savings.

Subject to that, each party's total liability in any twelve-month period is limited to the fees paid or payable by the Customer in that period.

B11. Termination

Either party may terminate immediately if the other commits a material breach that is not remedied within thirty days of written notice, or becomes insolvent. On termination the right to use the platform ends and clause B6 applies to the Customer's data.

B12. General

Neither party is liable for failure caused by events outside its reasonable control. Notices are given by email to the addresses on the order. No third party may enforce these terms. If a clause is unenforceable the rest stands. These terms and the agreement are governed by the law of Scotland, and the Scottish courts have exclusive jurisdiction.
